Terms of Service
These Terms of Service ("Terms," "Agreement") are an agreement between Yousea Technology Limited ("Air Sound AI," "we," "us") and the person, natural or legal ("you," "your," "Customer"), and govern your use of the airsound.ai website ("Site"), as well as Air Sound AI's professional and enterprise services ("Services"). Your use of the Site and Services is conditioned on your acceptance without modification of the terms, conditions, and notices contained herein, including but not limited to Air Sound AI's Privacy Policy, as amended from time to time.
If you are accessing or using the Site or the Services on behalf of your company, you certify that you have the authority to accept this Agreement on behalf of it. By signing up, accessing, or using the Site or the Services, you acknowledge your acceptance of this Agreement and consent to be bound by its terms and conditions. Violations of these Terms may result in termination of Service and legal action against you.
Do not use the Site or the Services if you do not agree to the Terms or if your jurisdiction will not honor them. Persons under the age of 13 are not authorized to use the Site.
1. Our Services
1.1 Cloud Service
Air Sound AI is a platform that enables you to build call-operation AI agents. Our service includes a versatile API for anyone building an AI for voice interactions, number provisioning, call handling, and a dashboard for customization and integration, such as customer service, outbound sales calls, information gathering, and surveys.
1.2 Professional Services
Beyond the standard technical support, Air Sound AI offers customized professional services which include personalized consultations, advanced implementation assistance, optimization strategies, and more, tailored to your specific needs. Please contact us at hello@airsound.ai with any questions or requests, and a member of our team will help you choose the Services and solutions that will be most suitable to meet your needs.
2. Payment Terms
2.1 Payment
Information about Air Sound AI's service plans is posted on airsound.ai/pricing. Services are charged on a monthly basis ("Subscription Period"). Upon signing up, you will provide Air Sound AI with a valid credit card number and billing information. You authorize Air Sound AI to charge and/or place a hold on your credit card with respect to any unpaid charges related to the Services. You authorize the issuer of the credit card to pay the monthly charges (including without limitation all taxes applicable to your Service charges) without requiring a signed receipt, and you agree that your acceptance of these Terms is authorization to the issuer of the credit card to pay all such amounts. All fees are non-refundable except as required by law or as otherwise expressly provided for in these Terms.
2.2 Subscription
If you wish to cancel the Service, you must delete your workspace or remove all subscription-based items (e.g., phone numbers) before the end of the current Subscription Period. Failure to do so will result in the automatic renewal of the subscription items for the next Subscription Period, and you will be responsible for the applicable fees.
2.3 Automatic Payment
You authorize Air Sound AI and/or any other company acting as billing agent for Air Sound AI to charge your credit card at the end of the month, and to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, on your credit card until such amounts are paid in full, subject to Air Sound AI's rights of suspension and termination and other remedies for non-payment set forth herein. Notwithstanding the foregoing, Air Sound AI is under no obligation to continue attempting to charge your credit card before exercising any other remedies hereunder.
2.4 Credit Card on File
You will provide Air Sound AI with updated credit card information upon Air Sound AI's request and any time the information you previously provided is no longer valid. You are solely responsible for maintaining and updating the credit card information. Air Sound AI is not liable for any penalties or administrative fees assessed by your card issuer for insufficient funds or other charges incurred by you as a result of such attempts to charge and/or place holds on your credit card. If you mistakenly provide a debit card number instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number.
2.5 Billing
If we elect to issue you an invoice, we may do so in any format we determine from time to time. If you request an invoice or additional copies of any invoice(s), or detailed information about your usage of Services, additional charges may apply as we may establish from time to time. Our decision to issue invoices shall not limit our rights hereunder to automatically charge your credit card on file on the date specified in Section 2.4.
2.6 Late Payment Fee; Grace Period
If the automatic payment method fails, you will be issued an invoice with a 14-day due date. If the invoice remains unpaid by the due date, a 7-day grace period will be provided. Air Sound AI reserves the right to suspend or stop Services automatically if the payment is not received within this grace period. You agree that for amounts not paid by the due date, we may charge, and you agree to pay, a late payment fee equal to the lesser of 10% of the past-due amounts or the maximum allowed by law. In the event you fail to pay billed charges when due and it becomes necessary for us to refer your account(s) to a third party for collection, or we resort to any other remedy available to us to collect any amounts that you owe, you will be liable for all costs associated with our collection efforts, including without limitation, attorneys' fees and court costs.
2.7 Service Changes
Air Sound AI may change rates at any time by posting such change at airsound.ai/pricing. The new rate will apply to your next billing cycle, as the case may be, after the new rates have been published. Please check the latest rates before you use the applicable Service. If you do not accept the new rates, do not use the Service.
3. Customer Responsibilities
Customer is solely responsible for (i) its use of the Services, (ii) all content, data, and inputs it provides, (iii) compliance of its use with applicable laws and regulations, and (iv) maintaining the confidentiality of its account credentials.
4. Acceptable Use Policy
4.1 In general
Air Sound AI's Acceptable Use Policy constitutes an integral part of these Terms and is designed to prevent fraud and abuse of the Services and facilitate compliance with applicable laws among our customers. Our goal is to protect the integrity of all related systems for the benefit of all customers and partners, and prevent any illegal conduct with the use of our Services and systems. Any use of the Services or any other action that disrupts the integrity of any Air Sound AI system or service and/or any vendor system or service, whether directly or indirectly, is strictly prohibited and could result in immediate termination of the Services.
You agree that you will not use the Services in ways that violate laws, infringe the rights of others, or interfere with the users or equipment of the Services. You shall use the Services only for lawful purposes. Air Sound AI reserves the right to immediately terminate your Services if, in our sole and absolute discretion, Air Sound AI determines that you have used the Services for an unlawful purpose, including, but not limited to, violating Air Sound AI's Know-Your-Customer requirements.
You shall not use the Services in any way that is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, or constitutes any similar behavior.
4.2 Telemarketing compliance
You must not use the Services in violation of the applicable laws governing the making and sending of calls and text messages. Relevant laws and regulations include, but are not limited to, the Telemarketing and Consumer Fraud and Abuse Prevention Act, the Telephone Consumer Protection Act (TCPA), and the rules promulgated by the Federal Communications Commission pursuant to the TCPA, the Federal Trade Commission (FTC) Act, the FTC's Telemarketing Sales Rule (TSR) and the Do-Not-Call (DNC) registry, state telemarketing laws and federal and state anti-wiretapping or eavesdropping laws.
Among other things, these laws and regulations may:
- Require you to obtain prior express consent for auto-dialed or prerecorded calls or texts sent or made from the called party;
- Require documentation or other support of such consent (which may be required in writing for certain types of calls);
- Prohibit altering the caller-ID information transmitted with a call or text with the intent to defraud, cause harm, or wrongfully obtain anything of value;
- Require you to include an automated interactive telemarketing opt-out mechanism available at the outset of the message for prerecorded messages;
- Require you to include a disclosure of AI voice use at the beginning of the call;
- Require you to notify parties to the call that their call is being recorded, and, in some cases, seek prior express consent to the call recording and disclose the use of third-party vendors for call analytics;
- Prohibit making certain types of calls before 8 a.m. or after 9 p.m. at the called party's location; and
- Prohibit calling a number on the national, state, or organization-specific do-not-call registry.
If consumer consent is required under the applicable laws to place calls using Air Sound AI's technology, Customer is required to document proof of the required level of consent of each consumer whom the Customer contacts. Such documentation must be preserved for at least the minimum amount of time prescribed by the applicable law, but in any case, it must be maintained for no less than five years. Air Sound AI retains the right to audit your use of our Services to ensure your compliance with the applicable laws.
Customers using AI voice for outbound calls must ensure their systems are programmed to scrub phone numbers against the applicable (federal, state, and Customer-specific) Do-Not-Call (DNC) lists regularly and in no event less frequently than every 31 days.
4.3 Fraud prevention and rights of publicity
You shall not use our Services to offer or otherwise make fraudulent goods, services, schemes, or promotions available to others, including make-money-fast schemes, Ponzi and pyramid schemes, or for phishing, pharming, harvesting, or similar deceptive practices.
Providing altered, deceptive, or false information about the sender's identity or a call's origin is expressly prohibited.
You shall only use the AI voices you have the rights to use under the applicable laws and licenses. You must not use the voices of real people (or deceptively similar voices) without their consent, and you must not use real people's voices (or deceptively similar voices) for any purpose the relevant person has not authorized.
5. Indemnification
5.1
You agree to indemnify, defend, and hold harmless Air Sound AI, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the Site or Services, any user postings made by you, your violation of any terms of this Agreement, your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Air Sound AI reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Air Sound AI in asserting any available defenses. This indemnification expressly covers any claims, damages, or regulatory fines (including the TCPA or similar statutes) arising from your improper or unlawful use of the Services.
5.2
Air Sound AI will defend Customer against any claim brought by a third party that the Services, as provided by Air Sound AI and used in accordance with this Agreement, infringe or misappropriate such third party's intellectual property rights, and Air Sound AI will pay any damages finally awarded against Customer (or settlement amounts agreed to by Air Sound AI) in connection with such claim. Air Sound AI shall have no obligation under this Section to the extent the alleged infringement arises from (a) modifications to the Services not made by Air Sound AI, (b) combination of the Services with products, data, or processes not provided by Air Sound AI, (c) Customer's use of the Services in breach of this Agreement, or (d) use of an outdated version of the Services where use of a newer version would have avoided the claim. This indemnity is Customer's exclusive remedy and Air Sound AI's sole liability for any third-party intellectual property claim, and is subject to the limitations of liability in Section 9.
6. Warranty Disclaimer
THE SERVICES PROVIDED HEREUNDER ARE PROVIDED "AS IS" AND "AS AVAILABLE" AND AIR SOUND AI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY SIMILAR WARRANTY WHETHER SAID WARRANTY ARISES UNDER PROVISIONS OF ANY APPLICABLE LAW. AIR SOUND AI MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICES ARE FREE OF RIGHTFUL CLAIMS OF ANY THIRD PARTY FOR INFRINGEMENT OF PROPRIETARY RIGHTS. THE ENTIRE RISK ASSOCIATED WITH THE SERVICES' USE SHALL BE BORNE SOLELY BY CUSTOMER.
Air Sound AI makes no warranty that the Services will meet Customer's requirements, that the Services will be uninterrupted, timely, secure, and error-free, or that any defects in the Services will be corrected. Air Sound AI is not responsible for messages or information lost or misdirected due to interruptions or fluctuations in the Services or the Internet in general.
Air Sound AI does not warrant the accuracy or reliability of the results obtained through the use of the Services or any data or information downloaded or otherwise obtained or acquired through the use of the Services. Customer acknowledges that any data or information downloaded or otherwise obtained or acquired through the use of the Services are at Customer's sole risk and discretion, and Air Sound AI will not be liable or responsible for any damage to Customer or Customer's property. No advice or information, whether oral or written, obtained by customers from Air Sound AI, its employees, or through or from the Services shall create any warranty not expressly stated in these Terms and Conditions.
Some jurisdictions do not permit the disclaimer of certain implied warranties, so certain of the foregoing disclaimers may not apply to Customer.
7. Beta, Evaluation, and Trial Services
From time to time Air Sound AI may offer beta, evaluation, or trial versions of the Services. Such Services are provided "as-is" without any warranties or commitments of any kind, and Air Sound AI shall have no liability arising from or relating to Customer's use of beta, evaluation, or trial Services.
8. High-Risk Use Disclaimer
The Services are not designed for use in connection with medical, emergency, aviation, nuclear, or other inherently dangerous or safety-critical environments, and Air Sound AI disclaims all liability for use of the Services in such contexts.
9. Limitation of Liability
AIR SOUND AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE, OR (B) ONE HUNDRED DOLLARS ($100) IF YOU ARE USING THE SERVICES UNDER A FREE TRIAL, PILOT, BETA PROGRAM, OR OTHER UNPAID ARRANGEMENT.
The limitations in this Section apply to the maximum extent permitted by applicable law. The limitations in this Section shall not apply to Customer's indemnification obligations, breach of the Acceptable Use Policy, or violation of intellectual property rights.
10. Intellectual Property Rights
10.1 In general
All rights, title, and interests in the Service, Site, and any content contained herein are the exclusive property of Air Sound AI, except as otherwise stated. The Service is for your legitimate business use only. Air Sound AI and its licensors own this entire website, including the names, logos, trademarks, service marks (collectively, the "Marks"), and any related or underlying technology, except User Content. The Site's content may also be covered by applicable copyright or other intellectual property laws and treaties. Without the prior written consent of Air Sound AI, you are not permitted to make use of any of its Marks. Customer is expressly prohibited from reverse engineering, decompiling, or otherwise attempting to derive source code or underlying models. Air Sound AI retains ownership of all platform intellectual property, models, algorithms, and any and all derivative works thereof. Air Sound AI may collect and use aggregated and de-identified data derived from Customer's use of the Services for purposes of operating, improving, and developing the Services, provided such data cannot reasonably be used to identify Customer or its users. Customer shall not use AI-generated voices or content produced by the Services to train, improve, or develop models or services that compete with Air Sound AI.
10.2 Limited license
Subject to your compliance with these Terms, Air Sound AI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service and the Site for your personal or internal business purposes. This license does not include any right to:
- Modify, adapt, or hack the Service;
- Reverse engineer, decompile, or disassemble the Service;
- Sublicense, sell, rent, lease, transfer, assign, or distribute the Service;
- Create derivative works based on the Service.
10.3 User-generated content
You retain ownership of any content you submit, upload, or provide to the Site or Service, including software, text, audio, video, images, user-generated content, reviews, testimonials, forum posts, and social media posts ("User Content").
By submitting User Content, you grant Air Sound AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content in connection with the Service.
10.4 AI-generated content
The ownership and intellectual property rights to any AI-generated content offered by Air Sound AI in the provision of Services ("AI-Generated Content") are subject to the following terms.
Air Sound AI or its licensors retain ownership of the underlying AI models and algorithms used to generate the AI-Generated Content.
You are granted a license to use the AI-Generated Content for your personal or internal business purposes, subject to the restrictions outlined in these Terms.
Air Sound AI does not claim ownership of ideas or information you provide as inputs for the creation of AI-Generated Content.
10.5 Feedback
If you provide Air Sound AI with any feedback, suggestions, or ideas regarding the Service or the Site ("Feedback"), you grant Air Sound AI a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to compensate you.
10.6 Third-party intellectual property
The Service may incorporate third-party intellectual property. Air Sound AI does not claim ownership of such third-party content, and you agree to comply with any applicable third-party terms and conditions.
10.7 Trademarks
All trademarks, service marks, and trade names used on or in connection with the Service are the property of their respective owners. You may not use any trademarks, service marks, or trade names appearing on the Service or the Site without the owner's prior written consent.
You grant Air Sound AI the right to identify you as a user of the Service or Site, using your Marks on Air Sound AI's Site and in its marketing materials. For the duration of the Agreement, you grant Air Sound AI a non-exclusive, royalty-free license to use your Marks in connection with any marketing, promotion, or advertising of Air Sound AI or the Service/Sites. Customer may revoke Air Sound AI's right to use its Marks in marketing or publicity upon thirty (30) days' written notice.
11. Call Recording and Third-Party Vendors
If you do not opt out of recording, you give Air Sound AI permission to record calls made using the Service and Sites and process communication data ("Communications") and User Content for offering AI-powered analytics and the development, training, and improvement of artificial intelligence and machine learning models that are included in the Service and Site. However, before being used for these purposes, the data will be de-identified and aggregated using commercially reasonable industry-standard technologies. Nothing in this Section shall lessen or restrict your obligations under the applicable laws, as described in Section 4. Air Sound AI shall implement commercially reasonable security measures to protect recorded data and shall notify Customer without undue delay in the event of a data breach affecting Customer Data.
12. Service Levels
Air Sound AI shall use commercially reasonable efforts to maintain at least 99.5% uptime for the Services, excluding scheduled maintenance windows (not to exceed six (6) hours per month) and events of force majeure. Support response times and escalation procedures may be set out in a separate SLA document.
13. Data Security and Privacy
Air Sound AI shall implement commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, use, or disclosure. Air Sound AI will notify Customer without undue delay following discovery of a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Customer Data. Customer remains responsible for securing its own access credentials and for all activity under its accounts. Unless otherwise expressly agreed in writing, Air Sound AI does not act as a "Business Associate" as defined under HIPAA and disclaims any such obligations.
14. DMCA Policy
Air Sound AI respects the intellectual property rights of others and expects users of the Site to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.
If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with the following information:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
- Your contact information, including your address, telephone number, and an email address;
- A statement by you that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
15. Modifications to Terms
Air Sound AI reserves the right to modify these Terms at any time in its sole discretion. Updated versions of the Terms will be posted on the Site and are effective immediately. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
The most current version of the Terms will supersede all previous versions. Air Sound AI encourages you to periodically review the Terms to stay informed of our updates.
16. Export Control
Customer represents and warrants that it is not located in a country subject to applicable government sanctions and is not a prohibited party under applicable export control laws. Customer shall not use or permit others to use the Services in violation of applicable export control laws or regulations.
17. Dispute Resolution
17.1 Pre-trial dispute resolution
For all disputes, you must first give us an opportunity to resolve your claim by sending a written description of your claim to the address in Section 17.8 below. We each agree to negotiate with each other in good faith about your claim. If we do not resolve the claim within 60 days after we receive this claim description, you may pursue your claim in court. We each agree that if you fail to timely pay amounts due, we may assign your account for collection, and the collection agency may pursue in-court claims limited strictly to the collection of the past due amounts and any interest or cost of collection permitted by law or the Agreement.
17.2 Class action waiver
WE (YOU AND AIR SOUND AI) EACH AGREE THAT ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION OR AS A MEMBER IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. IF A COURT DETERMINES IN AN ACTION BETWEEN YOU AND US THAT THIS CLASS ACTION WAIVER IS UNENFORCEABLE, THEN THE CLASS ACTION WAIVER WILL BE VOID AS TO YOU.
17.3 Jury trial waiver
YOU AND WE HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO HAVE A TRIAL IN FRONT OF A JURY.
17.4 Governing law
This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without giving effect to any choice of law or conflict of law provisions.
17.5 Exclusive jurisdiction
The courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction to hear and determine any claims or disputes between the parties arising out of or relating to this Agreement.
17.6 Venue
Any lawsuit, legal action, or proceeding arising from or relating to this Agreement must be instituted in the courts of the Hong Kong Special Administrative Region.
17.7 Consent to jurisdiction
The parties hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue in such courts, including any objection based on forum non conveniens.

18. Order of Precedence
In the event of a conflict between these Terms and any order form, proposal, or SLA, these Terms shall control unless expressly stated otherwise in such order form or SLA.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
20. Assignment
You may not transfer or assign this Agreement or any of your rights or obligations under it, by operation of law or otherwise, without our prior written consent. We may transfer or assign all or part of this Agreement or your debts to us without notice. Upon our transfer or assignment of this Agreement, Air Sound AI shall be released from all liability with respect to this Agreement.
21. Survival
Sections relating to Intellectual Property Rights, Indemnification, Limitation of Liability, Governing Law, Export Control, and any provisions which by their nature should survive, shall survive termination or expiration of this Agreement.
22. Force Majeure
Neither party shall be liable for any default or delay in the performance of its obligations hereunder (excluding any payment obligations) if and to the extent that such default or delay arises out of causes beyond their reasonable control, including, without limitation, acts of God, including weather-related phenomena, earthquakes, and floods; fires; acts of war or terrorism; civil disorders, including riots, rebellions, and insurrections; labor disputes, including strikes, lockouts, and work stoppages; medical emergencies, including pandemics and quarantine restrictions; network problems, including cable cuts, power outages, network failures, and computer viruses; and any other catastrophes, national emergencies, or government orders or acts. The time for any performance required hereunder shall be extended by the delay incurred as a result of such force majeure event, and if either party is unable to perform as a result of such event, it shall act with diligence to correct or mitigate such event.
23. Enforcement and Waiver
Air Sound AI has the right, but not the obligation, to monitor, investigate, restrict, enforce, bring civil litigation, press charges, or engage in any other self-help regarding any actual, attempted, or suspected violation of this Agreement. Air Sound AI will determine, in its sole discretion, whether you violated or attempted to violate any of the provisions of this Agreement or the Acceptable Use Policy. If we determine or suspect that you violated or attempted to violate this Agreement, we may terminate, suspend, modify, or limit your Service. Additionally, we may report actual or suspected criminal offenses to appropriate law enforcement authorities. Air Sound AI will cooperate with law enforcement investigations where criminal activity is suspected, and you agree to cooperate with any such investigations. Any waiver of or failure to enforce any provision or prohibition in this Agreement in one instance shall not be construed as a waiver of any provision or right in another instance.

1.1 云服务
Air Sound AI 是一个使您能够构建呼叫操作 AI 智能体的平台。我们的服务包括面向任何构建语音交互 AI 的人的多功能 API、号码配置、通话处理,以及用于客户服务、外呼销售、信息收集和调查等定制和集成的控制台。
1.2 专业服务
除标准技术支持外,Air Sound AI 还提供定制专业服务,包括个性化咨询、高级实施协助、优化策略等,根据您的具体需求量身定制。如有任何问题或请求,请通过 hello@airsound.ai 联系我们,我们的团队成员将帮助您选择最适合满足您需求的服务和解决方案。
2. 付款条款
2.1 付款
Air Sound AI 服务计划信息发布于 airsound.ai/pricing。服务按月计费("订阅期")。注册时,您将向 Air Sound AI 提供有效的信用卡号码和账单信息。您授权 Air Sound AI 就与服务相关的任何未付费用向您的信用卡收费和/或进行预授权。您授权信用卡发卡机构支付每月费用(包括但不限于适用于您服务费用的所有税款),无需签署收据,并且您同意您对这些条款的接受即是授权信用卡发卡机构支付所有此类金额。除法律要求或这些条款中另有明确规定外,所有费用不予退款。
2.2 订阅
如果您希望取消服务,必须在当前订阅期结束前删除您的工作区或移除所有基于订阅的项目(如电话号码)。未能这样做将导致下一订阅期相关订阅项目的自动续订,您将对相应费用负责。
2.3 自动付款
您授权 Air Sound AI 和/或任何其他作为 Air Sound AI 账单代理的公司在月末向您的信用卡收费,并继续尝试就本协议所述的所有金额或其任何部分向您的信用卡收费和/或进行预授权,直到此类金额全额支付为止,但须遵守 Air Sound AI 本协议中规定的暂停和终止权利及其他不付款救济措施。尽管有上述规定,Air Sound AI 在行使本协议项下任何其他救济措施之前,没有继续尝试向您的信用卡收费的义务。
2.4 存档信用卡
您将应 Air Sound AI 的要求及您之前提供的信息不再有效的任何时候向 Air Sound AI 提供更新的信用卡信息。您全权负责维护和更新信用卡信息。Air Sound AI 不对因尝试向您的信用卡收费和/或预授权而导致您的发卡机构因资金不足或其他原因收取的任何罚款或行政费用承担责任。如果您误将借记卡卡号提供为信用卡卡号,您授权将本协议所述的所有费用应用于该借记卡,除非并直到您提供信用卡号码为止。
2.5 账单
如果我们选择向您开具发票,我们可以以我们不时确定的任何格式这样做。如果您请求发票或任何发票的额外副本,或关于您使用服务的详细信息,额外费用可能适用。我们决定开具发票不应限制我们在第 2.4 节规定的日期自动向您存档的信用卡收费的权利。
2.6 滞纳金;宽限期
如果自动付款方式失败,您将收到付款期限为 14 天的发票。如果发票在到期日前仍未付款,将提供 7 天的宽限期。如果在宽限期内未收到付款,Air Sound AI 保留自动暂停或停止服务的权利。您同意,对于未在到期日前支付的金额,我们可以收取,且您同意支付相当于逾期金额的 10% 或法律允许的最高金额(取较小者)的滞纳金。如果您在到期时未能支付账单费用,我们不得不将您的账户转交第三方催收,或采取任何其他可用救济措施催收您欠款,您将承担我们催收努力的所有相关费用,包括但不限于律师费和诉讼费。
2.7 服务变更
Air Sound AI 可以通过在 airsound.ai/pricing 发布变更随时更改费率。新费率将在新费率发布后适用于您的下一个计费周期。使用相关服务前,请检查最新费率。如果您不接受新费率,请勿使用该服务。
3. 客户责任
客户全权负责 (i) 其对服务的使用,(ii) 其提供的所有内容、数据和输入,(iii) 其使用符合适用法律法规,以及 (iv) 维护其账户凭据的保密性。
4. 可接受使用政策
4.1 总则
Air Sound AI 的可接受使用政策构成这些条款的组成部分,旨在防止对服务的欺诈和滥用,并促进我们客户遵守适用法律。我们的目标是保护所有相关系统的完整性,为所有客户和合作伙伴的利益,并防止使用我们的服务和系统进行任何非法行为。任何直接或间接破坏任何 Air Sound AI 或供应商系统或服务完整性的行为,均被严格禁止,可能导致服务的立即终止。
您同意您不会以违反法律、侵犯他人权利或干扰用户或服务设备的方式使用服务。您应仅将服务用于合法目的。Air Sound AI 保留在我们认为您将服务用于非法目的(包括但不限于违反 Air Sound AI 的了解您的客户要求)时立即终止您的服务的权利。
您不得以威胁、辱骂、骚扰、诽谤、诋毁、欺骗、欺诈、侵犯他人隐私或构成任何类似行为的方式使用服务。
4.2 电话营销合规
您不得违反有关拨打和发送电话及短信的适用法律使用服务。相关法律法规包括但不限于《电话营销和消费者欺诈及滥用防止法》、《电话消费者保护法》(TCPA)、联邦通信委员会根据 TCPA 颁布的规则、《联邦贸易委员会(FTC)法》、FTC 的《电话营销销售规则》(TSR)和禁止来电(DNC)登记册、州电话营销法律以及联邦和州的反窃听法。
这些法律法规可能要求您:
- 为从被叫方拨打或发送的自动拨号或预录电话或短信获得事先明确同意;
- 提供此类同意的文件或其他支持(某些类型的电话可能需要书面形式);
- 禁止以欺诈、造成伤害或非法获取任何有价值物品为目的改变随电话传输的主叫方 ID 信息;
- 在预录消息开头提供可用的自动交互式电话营销退出机制;
- 在通话开始时披露 AI 语音的使用情况;
- 通知通话各方其通话正在被录音,在某些情况下,寻求通话录音的事先明确同意并披露第三方供应商用于通话分析;
- 禁止在被叫方所在地当地时间上午 8 点前或晚上 9 点后拨打某些类型的电话;以及
- 禁止致电全国、州或组织特定的禁止来电登记册上的号码。
如果根据适用法律需要消费者同意才能使用 Air Sound AI 的技术拨打电话,客户须记录客户联系的每位消费者所需同意级别的证明。此类文件必须至少保存适用法律规定的最短时间,但在任何情况下必须保存不少于五年。Air Sound AI 保留审计您使用我们服务的权利,以确保您遵守适用法律。
使用 AI 语音进行外呼的客户必须确保其系统定期(不少于每 31 天一次)核查电话号码是否在适用的(联邦、州和客户特定的)禁止来电(DNC)名单上。
4.3 防欺诈与形象权
您不得使用我们的服务向他人提供或以其他方式提供欺诈性商品、服务、计划或促销活动,包括快速致富计划、庞氏骗局和传销计划,或用于网络钓鱼、域名欺骗、数据收割或类似欺骗性做法。
提供有关发件人身份或来电来源的更改、欺骗性或虚假信息是明确禁止的。
您只能使用您根据适用法律和许可有权使用的 AI 声音。您不得在未经当事人同意的情况下使用真实人物的声音(或欺骗性相似的声音),也不得将真实人物的声音(或欺骗性相似的声音)用于相关人员未授权的任何目的。
5. 赔偿
5.1
您同意赔偿、捍卫和使 Air Sound AI 及其高管、董事、员工、代理人和第三方免受因您使用或无法使用网站或服务、您发布的任何用户内容、您违反本协议任何条款、您违反第三方的任何权利或您违反任何适用法律、规则或法规而产生的任何损失、费用、责任和支出(包括合理的律师费)的损害。Air Sound AI 保留自费承担对您应赔偿的任何事项的专有辩护和控制权的权利,在这种情况下,您将与 Air Sound AI 充分合作,主张任何可用的辩护。此赔偿明确涵盖因您不当或非法使用服务而产生的任何索赔、损害或监管罚款(包括 TCPA 或类似法规)。
5.2
Air Sound AI 将就第三方针对服务(由 Air Sound AI 提供且按本协议使用)侵犯或盗用该第三方知识产权提出的任何索赔为客户进行辩护,Air Sound AI 将支付因此类索赔而最终裁定针对客户的任何损害赔偿(或 Air Sound AI 同意的和解金额)。在以下情况下,Air Sound AI 在本条款下无义务:(a) 对服务的修改不是由 Air Sound AI 进行的;(b) 将服务与 Air Sound AI 未提供的产品、数据或流程结合使用;(c) 客户违反本协议使用服务;或 (d) 使用旧版服务,而使用更新版本本可以避免该索赔。此赔偿是客户对任何第三方知识产权索赔的唯一救济措施,也是 Air Sound AI 的唯一责任,并受第 9 节责任限制的约束。
6. 免责声明
本协议项下提供的服务"按原样"和"按可用性"提供,AIR SOUND AI 不作任何明示或暗示的保证,包括但不限于对特定用途的适销性和适用性的暗示保证,无论该保证是否依据任何适用法律的规定而产生。AIR SOUND AI 不对服务不存在任何第三方因侵犯专有权利而提出的合理索赔作出任何陈述或保证。与服务使用相关的全部风险由客户独自承担。
Air Sound AI 不保证服务将满足客户的要求,服务将不间断、及时、安全和无错误,或服务中的任何缺陷将被纠正。Air Sound AI 不对因服务或总体互联网的中断或波动而丢失或错误路由的消息或信息负责。
Air Sound AI 不保证通过使用服务或通过使用服务下载或以其他方式获取的任何数据或信息获得的结果的准确性或可靠性。客户承认,通过使用服务下载或以其他方式获取的任何数据或信息由客户自行承担风险和酌情决定,Air Sound AI 不对客户或客户财产的任何损害承担责任。从 Air Sound AI 或其员工处获得的,或通过服务获得的任何建议或信息,无论是口头的还是书面的,均不得创造这些条款中未明确说明的任何保证。
某些司法管辖区不允许对某些暗示保证的免责,因此上述某些免责声明可能不适用于客户。
7. 测试版、评估和试用服务
Air Sound AI 可能不时提供服务的测试版、评估版或试用版。此类服务"按原样"提供,不作任何形式的保证或承诺,Air Sound AI 对客户使用测试版、评估版或试用服务所产生的或与之相关的任何责任不承担责任。
8. 高风险使用免责声明
本服务不适用于与医疗、紧急情况、航空、核能或其他本质上危险或安全关键环境相关的用途,Air Sound AI 对在此类情况下使用服务导致的所有责任不承担责任。
9. 责任限制
AIR SOUND AI 不对任何间接、偶然、特殊、后果性或惩罚性损害承担责任,包括利润损失、商誉损失、使用损失或数据损失或其他损失,即使我们已被告知此类损害的可能性。我们在这些条款下的总责任不超过 (A) 您在责任产生前 12 个月内为引起索赔的服务支付的金额,或 (B) 如果您在免费试用、试点、测试版计划或其他无偿安排下使用服务,则为一百美元($100),以较大者为准。
本节中的限制在适用法律允许的最大范围内适用。本节中的限制不适用于客户的赔偿义务、违反可接受使用政策或侵犯知识产权。
10. 知识产权
10.1 总则
除另有说明外,服务、网站及其中包含的任何内容的所有权利、所有权和权益均为 Air Sound AI 的专有财产。服务仅供您合法商业使用。Air Sound AI 及其许可方拥有整个网站,包括名称、徽标、商标、服务标志(统称为"标志")以及任何相关或基础技术(用户内容除外)。未经 Air Sound AI 事先书面同意,您不得使用其任何标志。客户明确禁止对服务进行逆向工程、反编译或以其他方式尝试获取源代码或底层模型。Air Sound AI 保留所有平台知识产权、模型、算法及其所有衍生作品的所有权。Air Sound AI 可以收集和使用从客户使用服务中获取的汇总和去识别化数据,用于运营、改进和开发服务,前提是此类数据不能合理地用于识别客户或其用户。客户不得使用 AI 生成的声音或服务产生的内容来训练、改进或开发与 Air Sound AI 竞争的模型或服务。
10.2 有限许可
在您遵守这些条款的前提下,Air Sound AI 授予您有限的、非独占的、不可转让的且可撤销的许可,以访问和使用服务和网站用于您的个人或内部业务目的。此许可不包括以下任何权利:
- 修改、改编或入侵服务;
- 对服务进行逆向工程、反编译或拆解;
- 再许可、出售、出租、租赁、转让、分配或分发服务;
- 基于服务创建衍生作品。
10.3 用户生成内容
您保留您提交、上传或提供给网站或服务的任何内容的所有权,包括软件、文本、音频、视频、图像、用户生成内容、评论、推荐、论坛帖子和社交媒体帖子("用户内容")。
通过提交用户内容,您授予 Air Sound AI 全球范围内的、非独占的、免版税的许可,以与服务相关的方式使用、复制、修改、改编、发布、翻译和分发此类用户内容。
10.4 AI 生成内容
Air Sound AI 在提供服务过程中提供的任何 AI 生成内容("AI 生成内容")的所有权和知识产权受以下条款约束。
Air Sound AI 或其许可方保留用于生成 AI 生成内容的基础 AI 模型和算法的所有权。
您获得许可,可将 AI 生成内容用于您的个人或内部业务目的,但须遵守这些条款中规定的限制。
Air Sound AI 不对您提供作为创建 AI 生成内容输入的想法或信息主张所有权。
10.5 反馈
如果您向 Air Sound AI 提供有关服务或网站的任何反馈、建议或想法("反馈"),您授予 Air Sound AI 永久性的、不可撤销的、全球范围内的、免版税的许可,以使用、修改和将此类反馈纳入服务,而无需向您进行任何补偿。
10.6 第三方知识产权
服务可能包含第三方知识产权。Air Sound AI 不对此类第三方内容主张所有权,您同意遵守任何适用的第三方条款和条件。
10.7 商标
服务上或与服务相关使用的所有商标、服务标志和商业名称均为各自所有者的财产。未经所有者事先书面同意,您不得使用服务或网站上出现的任何商标、服务标志或商业名称。
您授予 Air Sound AI 使用您的标志在 Air Sound AI 的网站和营销材料上将您识别为服务或网站用户的权利。在协议期间,您授予 Air Sound AI 非独占的、免版税的许可,以在与 Air Sound AI 或服务/网站的任何营销、推广或广告中使用您的标志。客户可以在提前三十(30)天书面通知后撤销 Air Sound AI 在营销或宣传中使用其标志的权利。
11. 通话录音与第三方供应商
如果您不选择退出录音,您允许 Air Sound AI 录制使用服务和网站进行的通话,并处理通讯数据("通讯")和用户内容,用于提供 AI 分析,以及开发、训练和改进服务和网站中包含的人工智能和机器学习模型。但是,在用于这些目的之前,数据将使用商业上合理的行业标准技术进行去识别化和汇总。本节中的任何内容均不减轻或限制您在适用法律下的义务(如第 4 节所述)。Air Sound AI 应实施商业上合理的安全措施保护录制的数据,并在发生影响客户数据的数据泄露时毫不拖延地通知客户。
12. 服务级别
Air Sound AI 应尽商业上合理的努力,在不包括计划内维护窗口(每月不超过六(6)小时)和不可抗力事件的情况下,将服务保持至少 99.5% 的可用时间。支持响应时间和升级程序可在单独的 SLA 文件中规定。
13. 数据安全与隐私
Air Sound AI 应实施商业上合理的行政、技术和物理保障措施,旨在保护客户数据免受未经授权的访问、使用或披露。Air Sound AI 将在发现导致客户数据意外或非法销毁、丢失、更改、未经授权披露或访问的安全漏洞后毫不拖延地通知客户。客户仍然负责保护其自己的访问凭据及其账户下的所有活动。除非另有明确书面协议,Air Sound AI 不作为 HIPAA 定义下的"业务伙伴",并免除任何此类义务。
14. DMCA 政策
Air Sound AI 尊重他人的知识产权,并期望网站用户同样如此。我们将回应符合适用法律且已正确提交给我们的版权侵权指控通知。
如果您认为您的受版权保护的作品以构成版权侵权的方式被复制,请向我们的版权代理人提供以下信息:
- 版权所有者或被授权代表其行事的人的实体或电子签名;
- 被声称侵权的受版权保护作品的标识;
- 被声称侵权的材料的标识,以及足以使我们定位该材料的合理信息;
- 您的联系信息,包括您的地址、电话号码和电子邮件地址;
- 您真诚地认为以所投诉的方式使用该材料未经版权所有者、其代理人或法律授权的声明;
- 一份说明通知中的信息是准确的声明,并在虚假陈述的处罚下,说明您被授权代表版权所有者行事。
15. 条款修改
Air Sound AI 保留随时自行决定修改这些条款的权利。更新版本的条款将在网站上发布,立即生效。在任何此类变更后继续使用网站,即表示您接受新条款。
这些条款的最新版本将取代所有以前的版本。Air Sound AI 鼓励您定期查看条款以了解我们的更新。
16. 出口管制
客户声明并保证其不位于受适用政府制裁约束的国家/地区,且不是适用出口管制法律下的禁止方。客户不得违反适用的出口管制法律或法规使用或允许他人使用服务。
17. 争议解决
17.1 庭前争议解决
对于所有争议,您必须首先向我们提供机会,通过将您的索赔书面描述发送至第 17.8 节以下地址来解决您的索赔。我们各方同意就您的索赔真诚地进行谈判。如果我们在收到此索赔描述后 60 天内未能解决索赔,您可以在法庭上追求您的索赔。我们各方同意,如果您未能及时支付到期金额,我们可以将您的账户分配给催收机构,且催收机构可以追求仅严格限于催收逾期金额以及法律或协议允许的任何利息或催收费用的诉讼索赔。
17.2 集体诉讼放弃
我们(您和 AIR SOUND AI)各方同意,任何诉讼程序将仅以个人身份进行,而不以集体或代表性诉讼或作为集体、合并或代表性诉讼的成员身份进行。如果法院在您与我们之间的诉讼中确定此集体诉讼放弃不可执行,则集体诉讼放弃对您无效。
17.3 陪审团审判放弃
您和我们特此放弃任何由陪审团进行审判的宪法和法定权利。
17.4 适用法律
本协议应受香港特别行政区法律管辖并按其解释,不考虑任何法律选择或法律冲突条款。
17.5 专属管辖权
香港特别行政区的法院应对双方之间因本协议引起的或与之相关的任何索赔或争议具有专属管辖权。
17.6 诉讼地点
任何因本协议引起的或与之相关的诉讼、法律行动或程序必须在香港特别行政区的法院提起。
17.7 服从管辖
双方特此不可撤销地服从此类法院的属人管辖权,并放弃对此类法院的管辖地的任何异议,包括基于不方便法院的任何异议。

18. 优先顺序
如果这些条款与任何订单表格、提案或 SLA 之间存在冲突,除非在此类订单表格或 SLA 中另有明确说明,否则以这些条款为准。
19. 可分割性
如果这些条款的任何条款被发现不可执行或无效,该条款将被限制或消除至最低必要程度,以便这些条款在其他方面保持完全有效和可执行。
20. 转让
未经我们事先书面同意,您不得通过法律操作或其他方式转让或分配本协议或您在其下的任何权利或义务。我们可以不经通知转让或分配本协议或您对我们的债务的全部或部分。在我们转让或分配本协议后,Air Sound AI 应被解除其对本协议的所有责任。
21. 存续
与知识产权、赔偿、责任限制、适用法律、出口管制相关的条款以及任何按其性质应存续的条款,应在本协议终止或到期后继续有效。
22. 不可抗力
任何一方均不对其义务的任何违约或延迟履行承担责任(不包括任何付款义务),如果且在此类违约或延迟由超出其合理控制范围的原因引起的情况下,包括但不限于天灾(包括天气相关现象、地震和洪水)、火灾、战争或恐怖主义行为、内乱(包括骚乱、叛乱和起义)、劳动争议(包括罢工、停工)、医疗紧急情况(包括大流行病和检疫限制)、网络问题(包括电缆切断、停电、网络故障和计算机病毒),以及任何其他灾难、国家紧急状态或政府命令或行为。任何所需履行的时间应延长因此类不可抗力事件导致的延迟,如果任何一方因此类事件无法履行,则应勤勉地纠正或减轻此类事件。
23. 执行和放弃
Air Sound AI 有权但无义务监控、调查、限制、执行、提起民事诉讼、提出指控或采取任何其他自助措施以应对任何实际、企图或疑似违反本协议的行为。Air Sound AI 将自行决定您是否违反或企图违反本协议或可接受使用政策的任何规定。如果我们确定或怀疑您违反或企图违反本协议,我们可以终止、暂停、修改或限制您的服务。此外,我们可能向适当的执法机构报告实际或疑似犯罪行为。Air Sound AI 将在怀疑犯罪活动的情况下配合执法调查,您同意配合任何此类调查。在一种情况下对本协议中任何条款或禁令的任何放弃或未能执行,不得被解释为在另一种情况下对任何条款或权利的放弃。
